Michael Poster is a partner at Vandenberg & Feliu, LLP. Mr. Poster's practice focuses on corporate transactions, including mergers and acquisitions, joint ventures, venture capital investments and debt and equity financing transactions. Mr. Poster has represented a broad range of private and public companies, including private equity funds, hedge funds, institutional lenders, strategic buyers, entrepreneurs, special purpose acquisition companies and individual investors, with an emphasis on clients in the entertainment and media industries.

Mr. Poster began his legal career at Rosenman & Colin, LLP and remained at the firm after its merger with Katten Muchin Zavis in 2002, and was most recently a partner at Sonnenschein Nath & Rosenthal, LLP (now SNR Denton).

Mr. Poster works closely with clients in all stages of transactional practice, from pre-deal planning and strategy through negotiation and execution to financing, closing and post-closing matters. Mr. Poster's practical, business-focused approach makes him an effective strategic counselor and deal manager for his clients. His practice includes advising and counseling clients on, and drafting and negotiating agreements and other documents related to, mergers and acquisitions on behalf of both private and public companies in the US and abroad, joint venture and similar strategic relationships (including advice on governance and exit strategies), early, mid-and late-stage venture financing transactions, executive employment agreements, merger proxies and other federal securities filings, and seeding and management of hedge funds and private equity funds.

Mr. Poster also represents institutional and individual clients in all aspects of music industry transactions and corporate transactions involving entertainment companies and related assets. His music practice includes advising and counseling clients on, and drafting and negotiating agreements and other documents related to, acquisitions of recording and music publishing catalogs, the use of copyrights and other intellectual property as collateral in financing transactions (including asset-based lending and securitization transactions), and licensing matters. Mr. Poster also has substantial experience conducting and coordinating extensive due diligence reviews of entertainment industry contracts and assets and counseling clients on valuation of music copyrights.

Recent transactions handled by Mr. Poster include:

  • Acquisition of a private defense technology and supply company on behalf of two private equity funds, including overseeing a spin-out of an ancillary business and advising on related debt and equity financing;
  • Seeding of newly formed private equity funds focused on asset-based lending, generic pharmaceuticals and investments in wind farm ground leases;
  • Refinancing of a loan portfolio secured by music publishing and other entertainment assets;
  • "Roll up" mergers of private defense contractors with related debt and equity financing transactions;
  • Acquisition of an aviation concern on behalf of a public company, including preparation of merger proxy and related public securities documents;
  • Representation of lead "angel" investor in Series A and B venture capital investments in an early stage biotechnology company;
  • Serving as a senior member of due diligence teams reviewing entertainment agreements and copyrights in connection with two of the largest entertainment industry acquisitions in history;
  • Representation of a major voice over IP company in its Series B, C and D venture-backed financings, including negotiation and drafting of principal agreements;
  • Acquisition of music publishing assets for a newly formed music-focused hedge fund, including advice on fund formation documents.

Since 2006, Mr. Poster has served as co-chair and speaker at the New York State Bar Association/CMJ annual Entertainment Business Law Seminar. Mr. Poster has spoken and authored numerous articles on Internet, corporate finance, entertainment and licensing issues and has been quoted in such publications as The Wall Street Journal, Billboard Magazine and Crain's New York Business.

Mr. Poster received his J.D. from New York University School of Law, and was the recipient of the Jack J. Katz Memorial Award for academic excellence in the field of entertainment law. Mr. Poster received his B.A. degree from the University of Massachusetts, where he was elected to Phi Beta Kappa. He is a member of the New York State Bar Association (Entertainment, Arts and Sports Law Section). Mr. Poster is married with two children and lives in Brooklyn, New York. He is active in community affairs, and teaches judo to both children and adults.
