Mr. Kerson became Of Counsel to Vandenberg & Feliu, LLP in June 2007 and has been engaged in general corporate practice in New York for more than 30 years. Since June 2000, Mr. Kerson has been in private practice in his own firm (Law Office of Edward W. Kerson). Prior to that, he had been a Partner in the Corporate Department at Proskauer Rose LLP.
Mr. Kerson has advised numerous domestic and foreign companies (including
companies in the EU, China, Australia, and Israel), corporations, partnerships,
limited liability companies, and other entities, as well as individuals, on a wide range
of matters, including public and private offerings of securities (representing issuers,
selling securityholders, and underwriters), mergers and acquisitions of public and
private companies, corporate reorganizations, private equity transactions (representing
issuers and financers), financing transactions (representing borrowers and lenders), and
formation of joint ventures and partnerships.
Mr. Kerson has served on various bar association committees, including a two-year
term as Co-Chair of the Committee on Corporations of the New York County Bar
Association, and two three-year terms as a member of the Committee on Securities
Regulation of the Association of the Bar of the City of New York.
Mr. Kerson is a member of the Advisory Board of Watershed Center for the Ceramic
Arts, a member of the Board of Trustees of Boys Town Jerusalem Foundation
of America, Inc., and a member of the Board of Trustees and President of The
Conservative Synagogue of Fifth Avenue.
